These Terms and Conditions (the "Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and Eatie Teknoloji A.S., a company organized and existing under the laws of the Republic of Turkey ("Eatie," "Company," "we," "us," or "our"), governing your access to and use of the Eatie mobile application, website, APIs, and all related services (collectively, the "Service"). By creating an account, downloading, installing, accessing, or otherwise using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to any provision of these Terms, you must immediately cease all use of the Service and delete any copies of the application from your devices.
1. Definitions
In addition to terms defined elsewhere in this Agreement, the following definitions shall apply:
- "Content" means all text, images, photographs, graphics, audio, video, data, software, and other materials available on or through the Service, including both Eatie Content and User Content.
- "Eatie Content" means Content that Eatie creates, owns, or licenses, including but not limited to the Service's design, user interface, algorithms, software code, trademarks, logos, and documentation.
- "User Content" means any Content that a User submits, posts, uploads, or otherwise makes available through the Service, including reviews, ratings, photographs, comments, and recommendations.
- "Gurman" means a verified food expert on the Service who meets certain qualitative and quantitative criteria established by Eatie and whose recommendations are featured in the Service's feed and discovery mechanisms.
- "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, trade names, domain names, moral rights, database rights, design rights, and all other intellectual property rights of any kind, whether registered or unregistered, and all applications, renewals, and extensions thereof, worldwide.
2. Description of the Service
Eatie is a social food-discovery platform that enables Users to discover restaurants, cafes, and other food-and-beverage establishments through personalized recommendations, an interactive map, a social feed, gamified contribution mechanisms, and a taste-profile-matching system. The Service facilitates connections between Users and Gurmans whose culinary preferences align with their own.
Information-Only Platform. Eatie acts solely as an information platform and marketplace of ideas. Eatie does not own, operate, manage, control, or inspect any of the food-and-beverage establishments listed on the Service. We do not guarantee the accuracy, completeness, reliability, timeliness, or availability of any information provided by third parties or Users, including but not limited to establishment details, menu items, pricing, hours of operation, hygiene standards, allergen information, or User-generated reviews. Users acknowledge and agree that any reliance on such information is at their sole risk.
Service Modifications. We reserve the unilateral right to modify, update, suspend, or discontinue any part or all of the Service at any time, with or without prior notice, for any reason or no reason, including but not limited to scheduled maintenance, feature enhancements, regulatory compliance, or business considerations. Eatie shall have no liability to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Eligibility and Account Registration
3.1 Age Requirement
You must be at least thirteen (13) years of age to create an account and use the Service. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you represent and warrant that you have obtained the verifiable consent of a parent or legal guardian to use the Service and that such parent or guardian has read and agreed to these Terms on your behalf. We reserve the right to request proof of age or parental consent at any time and to terminate, without notice, any account that we reasonably believe belongs to a User who does not meet these eligibility requirements.
3.2 Account Information
You agree to provide truthful, accurate, current, and complete information when registering for an account and to update such information promptly to maintain its accuracy and completeness. You shall not impersonate any person or entity, misrepresent your affiliation with any person or entity, or use a false identity. Providing materially inaccurate or misleading information constitutes a breach of these Terms and may result in immediate account termination.
3.3 Account Security
You are solely responsible for safeguarding the confidentiality of your account credentials, including your password and any third-party authentication tokens (e.g., Apple ID, Google Sign-In). You are fully liable for all activities that occur under your account, whether or not authorized by you. You agree to notify Eatie immediately at support@eatie.app upon becoming aware of any unauthorized access to or use of your account. Eatie shall not be liable for any loss, damage, or liability arising from your failure to comply with this Section.
3.4 One Account Per Person
Each natural person may maintain only one (1) active account on the Service. Creating multiple accounts for the purpose of manipulating reviews, ratings, scoring, leaderboard rankings, or any other aspect of the Service is strictly prohibited and shall constitute grounds for immediate termination of all associated accounts.
4. License Grant and Restrictions
4.1 License to You
Subject to your compliance with these Terms, Eatie grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Service on devices you own or control, solely for your personal, non-commercial purposes. This license does not convey any ownership interest in the Service or any Eatie Content.
4.2 Restrictions
You shall not, directly or indirectly:
- copy, modify, adapt, translate, create derivative works of, reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any part thereof;
- sublicense, lease, rent, loan, sell, distribute, or otherwise transfer the Service or any license granted hereunder to any third party;
- remove, alter, or obscure any copyright, trademark, patent, or other proprietary notices from the Service;
- use the Service for any commercial purpose, including but not limited to advertising, marketing, or reselling, without Eatie's prior written consent;
- use any robot, spider, crawler, scraper, or other automated means to access the Service or collect data therefrom;
- interfere with, disrupt, or impose an unreasonable or disproportionately large load on the Service's infrastructure, servers, or networks;
- attempt to gain unauthorized access to any portion of the Service, other Users' accounts, or any systems or networks connected to the Service;
- use the Service in any manner that violates any applicable local, national, or international law or regulation.
5. User Content and Conduct
5.1 Ownership and License
You retain all ownership rights in and to your User Content. By submitting, posting, or otherwise making User Content available through the Service, you hereby grant Eatie a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable (through multiple tiers), perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit your User Content in any media or format now known or hereafter developed, in connection with the operation, promotion, and improvement of the Service. This license survives termination of your account.
5.2 Representations and Warranties
By submitting User Content, you represent and warrant that:
- you are the sole owner of, or have all necessary rights, licenses, consents, and permissions to submit, the User Content and to grant the license described in Section 5.1;
- the User Content does not and will not infringe, misappropriate, or violate any third party's Intellectual Property Rights, privacy rights, publicity rights, or any other proprietary or personal rights;
- the User Content does not contain any material that is defamatory, libelous, obscene, pornographic, threatening, harassing, hateful, or otherwise objectionable;
- the User Content does not contain any viruses, malware, spyware, or other harmful code;
- the User Content complies with all applicable laws and regulations.
5.3 Honest and Authentic Reviews
Reviews and ratings must reflect your genuine, firsthand personal experience at the relevant establishment. The following practices are strictly prohibited:
- posting fake, fabricated, or misleading reviews;
- posting reviews that are incentivized, compensated, or solicited by the establishment or any third party, unless clearly disclosed as such;
- reviewing your own business, or the business of a family member, employee, or business associate, without disclosure;
- posting negative reviews of competitors' establishments for competitive purposes;
- coordinating with other Users to artificially inflate or deflate ratings.
Eatie reserves the right to remove, without notice, any User Content that it reasonably believes to be fraudulent, misleading, or in violation of these Terms.
5.4 Right to Moderate and Remove
Eatie reserves the right, but assumes no obligation, to monitor, review, edit, or remove any User Content at its sole discretion, for any reason, including but not limited to User Content that violates these Terms, is objectionable, or may expose Eatie to legal liability. Eatie shall not be liable for any decision to remove or decline to remove User Content.
6. Prohibited Activities
In addition to the restrictions set forth elsewhere in these Terms, the following activities are expressly prohibited. You shall not:
- use the Service in any manner that violates any applicable law, regulation, or ordinance, including but not limited to the laws of the Republic of Turkey and, where applicable, the laws of the European Union;
- engage in any conduct that is harassing, bullying, intimidating, threatening, discriminatory, or abusive toward any User, establishment owner, employee, or third party;
- post or transmit content that promotes hatred, violence, or discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other characteristic protected by applicable law;
- use the Service to send unsolicited commercial messages, spam, or promotional material to other Users;
- collect, harvest, or store personal information of other Users without their express consent;
- impersonate any person or entity, or falsely state or otherwise misrepresent your identity, affiliation, or authority;
- upload, transmit, or distribute any content containing software viruses, worms, Trojan horses, ransomware, or any other malicious code designed to interrupt, destroy, or limit the functionality of the Service;
- attempt to circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict the use or copying of Content;
- engage in any activity that could disable, overburden, damage, or impair the Service's servers or networks, or interfere with any other party's use and enjoyment of the Service;
- use the Service to facilitate any illegal activity, including but not limited to money laundering, terrorist financing, or trafficking in illicit goods or services.
Violation of any of the foregoing may result in the immediate suspension or permanent termination of your account, at Eatie's sole discretion, without prior notice and without prejudice to any other rights or remedies available to Eatie at law or in equity.
7. Intellectual Property Rights
7.1 Eatie's Intellectual Property
The Service — including its design, layout, look and feel, user interface, graphics, algorithms, machine-learning models, source code, object code, databases, and all Eatie Content — is the exclusive property of Eatie and/or its licensors and is protected by the copyright, trademark, patent, trade-secret, and other Intellectual Property Rights laws of the Republic of Turkey, the European Union, and international treaties. All rights not expressly granted herein are reserved by Eatie.
7.2 Trademarks
The Eatie name, Eatie logo, and all related product names, service names, slogans, taglines (including "Discover whose taste you can trust"), and design marks are trademarks or registered trademarks of Eatie. You may not use any of these marks without Eatie's prior written permission. All other trademarks, service marks, and trade names appearing on the Service are the property of their respective owners.
7.3 Copyright Complaints
If you believe that any Content on the Service infringes your copyright, please submit a written notice to legal@eatie.app containing: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the allegedly infringing material and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
8. Gamification, Scoring, and Rewards
The Service includes a gamification system whereby Users may earn points ("Score") by performing certain actions, such as writing reviews, uploading photographs, adding new places, and completing contribution tasks. Score and any associated rankings, levels, badges, or leaderboard positions:
- have no monetary value and may not be exchanged, bartered, sold, or transferred;
- are awarded at Eatie's sole discretion and may be modified, adjusted, recalculated, or revoked at any time without prior notice;
- do not constitute a contractual obligation on the part of Eatie to provide any benefit, compensation, or consideration;
- may be subject to changes in the scoring algorithm, criteria, or system at Eatie's sole discretion.
Eatie reserves the right to reset, adjust, or remove Score and leaderboard standings in cases of suspected gaming, manipulation, fraud, or abuse of the scoring system.
9. Third-Party Services and Integrations
The Service integrates with or contains links to third-party services, platforms, and applications, including but not limited to Google Maps Platform, Apple Maps, Apple Sign In, Google Sign In, and Firebase Cloud Messaging. Your use of such third-party services is governed by their respective terms of service and privacy policies, not by these Terms. Eatie makes no representations or warranties regarding any third-party service and shall not be liable for any loss, damage, or claim arising from your use of or reliance on any third-party service.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. Eatie expressly disclaims all warranties, including but not limited to:
- implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
- warranties that the Service will be uninterrupted, timely, secure, or error-free;
- warranties that defects will be corrected or that the Service or the servers that make it available are free of viruses or other harmful components;
- warranties regarding the accuracy, reliability, completeness, or currency of any Content, information, or data available through the Service, including but not limited to establishment details, reviews, ratings, photographs, menu items, pricing, hours of operation, allergen information, and nutritional data;
- warranties that the results obtained from use of the Service will meet your expectations or requirements.
Food Safety and Allergens. Eatie is not responsible for the quality, safety, legality, hygiene, or any other aspect of the food, beverages, or services provided by establishments listed on the Service. Users with food allergies, intolerances, or dietary restrictions should independently verify ingredient and allergen information directly with the relevant establishment before consuming any food or beverage. Eatie shall not be liable for any adverse reaction, illness, injury, or death resulting from the consumption of food or beverages at any establishment discovered through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Exclusion of Consequential Damages. IN NO EVENT SHALL EATIE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICE, OR YOUR USE THEREOF, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF EATIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Aggregate Liability Cap. IN NO EVENT SHALL EATIE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE ACTUALLY PAID TO EATIE, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED TURKISH LIRA (100 TRY).
- Essential Purpose. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Certain jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent that such exclusions or limitations are not permitted by the law of your jurisdiction, the foregoing exclusions and limitations shall apply to the maximum extent permitted by applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Eatie, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
- your access to or use of the Service;
- your User Content;
- your breach or alleged breach of any representation, warranty, or obligation under these Terms;
- your violation of any applicable law, regulation, or third-party right;
- any dispute between you and any third party, including any establishment listed on the Service.
Eatie reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with Eatie in asserting any available defenses. This indemnification obligation shall survive termination of your account and these Terms.
13. Suspension and Termination
13.1 Termination by You
You may terminate your account at any time by using the account-deletion feature within the Service's settings or by contacting us at support@eatie.app. Upon account termination, we will delete or anonymize your Personal Data in accordance with our Privacy Policy, subject to any legal obligations requiring continued retention.
13.2 Suspension and Termination by Eatie
Eatie reserves the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, with or without cause and with or without prior notice, including but not limited to situations where:
- you breach any material provision of these Terms;
- your conduct is reasonably deemed harmful to other Users, third parties, or the legitimate business interests of Eatie;
- your account has been dormant for a continuous period exceeding twelve (12) months;
- Eatie is required to do so by applicable law, regulation, or order of a court or governmental authority;
- continued provision of the Service to you is no longer commercially viable.
13.3 Effects of Termination
Upon termination for any reason: (a) your license to use the Service shall immediately cease; (b) you must promptly uninstall and delete all copies of the application from your devices; (c) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5.1 (license to User Content), 7 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), 15 (Governing Law), 16-20 (General Provisions), and any accrued payment obligations.
14. Modifications to the Service and Terms
14.1 Modifications to the Service
Eatie may, at its sole discretion, add, modify, update, or remove features, functionalities, or content of the Service at any time without prior notice. No modification to the Service shall entitle you to any claim, compensation, or remedy.
14.2 Modifications to These Terms
We reserve the right to amend these Terms at any time. When we make material changes, we will: (a) update the "Last Revised" date; (b) provide you with at least thirty (30) days' advance notice through the Service (e.g., in-app notification, banner, or push notification) or via email. Your continued use of the Service after the effective date of any modification constitutes your binding acceptance of the modified Terms. If you do not agree with a modification, you must cease use of the Service before the effective date and request account deletion.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the substantive laws of the Republic of Turkey, without giving effect to any principles of conflict of laws that would result in the application of the laws of any other jurisdiction.
15.2 Jurisdiction
Any action, suit, or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts and enforcement offices (Icra Mudurlugu) located in Istanbul, Republic of Turkey. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of jurisdiction.
15.3 Informal Resolution
Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting Eatie at legal@eatie.app. Both parties shall use commercially reasonable efforts to resolve the dispute within thirty (30) calendar days of the initial notice.
15.4 Consumer Rights
Nothing in these Terms shall be construed to limit or waive any mandatory consumer-protection rights afforded to you under the Consumer Protection Law No. 6502 of the Republic of Turkey or any other applicable mandatory consumer legislation that cannot be waived by contract.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
17. Waiver
The failure of Eatie to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Eatie to be effective. A waiver of any right or provision on one occasion shall not be deemed a waiver of such right or provision on any subsequent occasion.
18. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated herein by reference, constitute the entire agreement between you and Eatie with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether oral or written, between the parties regarding such subject matter.
19. Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Eatie. Eatie may freely assign, transfer, or delegate its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
20. Force Majeure
Eatie shall not be liable for any failure or delay in the performance of its obligations under these Terms if and to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, governmental actions or orders, power failures, internet or telecommunications failures, cyberattacks, or disruptions in third-party services upon which the Service depends.
